These Terms and Conditions govern access to and use of the Three Sixteen Technologies LLC website and the purchase of products from Three Sixteen Technologies LLC.

Throughout these Terms and Conditions, “Three Sixteen Technologies,” “we,” “us,” and “our” refer to Three Sixteen Technologies LLC. “Customer,” “you,” and “your” refer to the person or organization accessing our website, requesting a quotation, submitting a purchase order, or purchasing products from us.

By accessing our website, you agree to the website-use provisions of these Terms and Conditions. By accepting a quotation, submitting an order, authorizing payment, or purchasing products from us, you also agree to the applicable sales provisions of these Terms and Conditions.

1. Website Purpose

Our website provides information about Three Sixteen Technologies, our products, warranty coverage, shipping practices, and related services.

The website is primarily informational and does not guarantee that any product is currently available, suitable for a particular application, or available at a specific price or delivery date.

A website listing, product description, photograph, specification, or other published information does not constitute a binding offer to sell.

2. Quotations

Unless otherwise stated in writing, quotations issued by Three Sixteen Technologies are valid for 15 calendar days from the quotation date.

After a quotation expires, pricing, product availability, shipping charges, freight charges, duties, taxes, configurations, and estimated lead times may change without notice.

A quotation is based on the information available when it is prepared. Changes to quantities, products, configurations, delivery addresses, receiving requirements, or requested services may require a revised quotation.

Quotations are not binding purchase agreements until the customer accepts the quotation and Three Sixteen Technologies confirms the order in writing.

3. Orders and Acceptance

All orders are subject to review and written acceptance by Three Sixteen Technologies.

Submitting a purchase order, payment, or other order request does not require us to accept or fulfill the order. We may reject or place an order on hold because of:

  • Product availability

  • Incomplete or inaccurate information

  • Payment or credit concerns

  • Pricing or specification errors

  • Shipping or receiving limitations

  • Suspected fraud or unauthorized activity

  • Legal or regulatory restrictions

  • Other reasonable business considerations

An order becomes accepted when we issue a written order confirmation, invoice, or other written acceptance.

Any additional or conflicting terms included in a customer’s purchase order or other document will not apply unless Three Sixteen Technologies expressly accepts those terms in writing.

4. Product Availability

Product availability is subject to change.

Some products may be:

  • In stock

  • Manufactured or assembled after ordering

  • Procured from a supplier after ordering

  • Configured or pre-wired according to customer requirements

  • Temporarily unavailable

  • Discontinued or replaced by a comparable model

We may limit quantities, discontinue products, update product designs, or decline orders when inventory or supplier availability is limited.

We will not substitute a materially different product without the customer’s approval.

5. Pricing

Prices are stated in United States dollars unless otherwise indicated.

Website prices, when displayed, may not include:

  • Shipping or freight

  • Special delivery services

  • Sales, use, excise, or similar taxes

  • Duties, tariffs, or customs charges

  • Installation or assembly

  • Customization or configuration

  • Additional accessories

  • Payment-processing or bank charges

  • Other services not expressly included

The customer’s formal quotation or order confirmation will identify the applicable products, quantities, pricing, and separately quoted charges.

We reserve the right to correct typographical, pricing, calculation, or product-information errors. If a material error is discovered after an order is submitted, we may provide corrected information and allow the customer to approve the correction or cancel the affected portion of the order before shipment.

6. Taxes and Exemption Documentation

Customers are responsible for applicable sales, use, excise, and similar taxes unless a valid exemption applies.

A customer claiming tax-exempt status must provide complete and valid exemption documentation before the order is invoiced or processed. We may reject incomplete, expired, or inapplicable exemption certificates.

The customer remains responsible for any tax, penalty, interest, or assessment resulting from inaccurate or invalid exemption information.

7. Payment Terms

Payment requirements will be stated on the applicable quotation, invoice, or order confirmation.

Three Sixteen Technologies may require full or partial payment before:

  • Processing an order

  • Procuring products or components

  • Beginning production or customization

  • Preparing or configuring products

  • Releasing an order for shipment

Accepted payment methods may include:

  • Credit card

  • ACH transfer

  • Business check

  • Approved purchase order

  • Other payment methods accepted by us in writing

Orders paid by check may be held until the payment has cleared.

Purchase orders and Net 30 payment terms are available only to schools, government agencies, businesses, and other organizations that receive prior written approval from Three Sixteen Technologies.

Credit approval may be changed or withdrawn at our discretion based on payment history, financial information, or other reasonable credit considerations.

Customers are responsible for charges resulting from returned payments, rejected transfers, payment disputes, or inaccurate payment instructions to the extent permitted by law.

8. Order Changes

Requests to change an accepted order must be submitted in writing.

A requested change is not effective unless Three Sixteen Technologies approves it in writing. Changes may affect:

  • Product pricing

  • Shipping charges

  • Taxes

  • Product availability

  • Production schedules

  • Lead times

  • Delivery dates

  • Configuration requirements

We may decline changes after products have been ordered, manufactured, configured, pre-wired, packaged, or released for shipment.

9. Order Cancellations

Cancellation requests must be submitted in writing.

Standard-stock orders may be canceled before shipment if processing has not begun and Three Sixteen Technologies has not incurred nonrecoverable costs.

Custom, custom-branded, special-order, pre-wired, configured, modified, made-to-order, or specially procured products become noncancelable once production, procurement, configuration, preparation, or other order-specific work has begun.

Approved cancellations may be subject to deductions for costs already incurred, including:

  • Supplier charges

  • Customization or production costs

  • Configuration or preparation labor

  • Packaging expenses

  • Payment-processing costs

  • Administrative costs

  • Shipping, freight, interception, or storage charges

Once an order has been transferred to a carrier, it cannot be canceled without potential additional charges. Any approved return after shipment will be governed by the return provisions of these Terms and Conditions and our Shipping & Freight Policy.

Nothing in this section limits cancellation or refund rights that cannot legally be waived.

10. Shipping and Delivery

Shipping and freight charges are separately identified on the customer’s quotation unless otherwise stated in writing.

Shipping methods, freight services, processing times, delivery requirements, customer responsibilities, damage-reporting procedures, and carrier-claim requirements are governed by our Shipping & Freight Policy, which is incorporated into these Terms and Conditions.

Processing and delivery dates are estimates unless a guaranteed service or delivery commitment is expressly included in writing.

If we cannot ship within an applicable promised time, we will provide notice and offer any delay-consent, cancellation, or refund options required by applicable law.

Customers are responsible for providing complete and accurate:

  • Delivery addresses

  • Contact information

  • Receiving hours

  • Loading-dock information

  • Liftgate requirements

  • Limited-access information

  • Inside-delivery requirements

  • Appointment requirements

  • Unloading capabilities

  • Other relevant receiving instructions

Additional carrier charges resulting from incomplete, inaccurate, or changed delivery information may be invoiced to the customer.

11. Delivery Inspection and Shipping Damage

Customers must inspect shipments promptly and comply with the inspection and reporting procedures stated in our Shipping & Freight Policy.

Visible freight damage or shortages must be documented on the carrier’s delivery receipt before the driver leaves.

Concealed damage, missing items, or parcel-delivery issues must be reported within the time periods stated in our Shipping & Freight Policy.

Customers must retain the product, shipping cartons, pallets, protective materials, labels, and other packaging until Three Sixteen Technologies confirms that they may be discarded.

Failure to inspect, document, report, or preserve a shipment properly may affect the ability to obtain carrier reimbursement, repair, replacement, credit, or another remedy.

12. Returns

Eligible standard-stock products may be returned only with prior written authorization from Three Sixteen Technologies.

A return request must be submitted within 30 calendar days after delivery.

To qualify for return consideration, a product must be:

  • Unused

  • Uninstalled

  • Unmodified

  • Undamaged

  • Complete

  • In resalable condition

  • Returned with all accessories, components, documentation, and hardware

  • Returned in its original packaging

  • Accompanied by proof of purchase

Unauthorized returns may be refused or returned to the customer at the customer’s expense.

Customers are responsible for return shipping, freight, packaging, insurance, and related costs unless the return results from a verified shipping error, transit damage, or qualifying product defect attributable to Three Sixteen Technologies.

Original shipping, freight, delivery-service, and payment-processing charges are nonrefundable unless otherwise required by law or approved by us in writing.

13. Restocking Fee

Approved returns of eligible standard-stock products are subject to a 20% restocking fee.

Additional deductions may apply when a returned product has:

  • Missing parts or accessories

  • Damaged or missing packaging

  • Signs of installation or use

  • Cosmetic damage

  • Improper packaging

  • A condition that reduces its resale value

  • Additional inspection, repair, repackaging, or handling requirements

The restocking fee will not apply to a verified shipping error, qualifying transit-damage claim, or covered product defect attributable to Three Sixteen Technologies.

14. Nonreturnable Products

The following products are nonreturnable unless otherwise required by law or expressly approved in writing:

  • Custom-manufactured products

  • Custom-branded products

  • Special-order products

  • Pre-wired products

  • Configured or modified products

  • Made-to-order products

  • Products procured specifically for a customer

  • Clearance, discontinued, or final-sale products

  • Opened earbuds and other in-ear products

  • Products damaged after delivery

  • Products altered or repaired without authorization

  • Products missing original packaging, components, or accessories

  • Products identified as nonreturnable on the quotation or order confirmation

Large-quantity orders may be designated nonreturnable when inventory is manufactured, reserved, or procured specifically for the customer. Any such restriction will be identified on the applicable quotation or order confirmation.

15. Refunds and Credits

Approved refunds or credits will be calculated after the returned product is received and inspected.

Applicable deductions may include:

  • Restocking fees

  • Original shipping or freight

  • Return shipping or freight

  • Missing components

  • Product damage

  • Packaging damage

  • Carrier charges

  • Other authorized costs

Approved refunds will generally be issued to the original payment method when reasonably possible.

A refund, credit, replacement, or exchange will not be issued until the product and supporting documentation have been received and evaluated.

Exchanges may be processed as a return and a separate new order unless otherwise agreed in writing.

16. Product Warranties

Products are covered only by the written warranty applicable to the specific product or product category.

Warranty periods, covered defects, exclusions, claim requirements, available remedies, and limitations are stated in the Three Sixteen Technologies Limited Warranty, which is incorporated into these Terms and Conditions.

A return authorization does not constitute approval of a warranty claim. Products submitted for warranty service may be inspected and tested to determine whether the reported issue qualifies for coverage.

To the fullest extent permitted by law, no employee, reseller, supplier, representative, or other person may modify or expand a written warranty unless Three Sixteen Technologies expressly approves the modification in writing.

17. Product Information and Compatibility

We make reasonable efforts to provide accurate product descriptions, photographs, dimensions, specifications, compatibility information, and other website content.

However:

  • Product colors may vary because of lighting, photography, displays, or manufacturing changes

  • Images may show optional accessories or equipment not included with the product

  • Dimensions and weights may be approximate

  • Manufacturers may update designs or components

  • Packaging may differ from website photographs

  • Typographical or technical errors may occur

Customers are responsible for reviewing the applicable quotation, specifications, dimensions, electrical requirements, device compatibility, mounting requirements, weight limits, installation requirements, and intended application before ordering.

Compatibility guidance provided by Three Sixteen Technologies is based on the information supplied by the customer. We are not responsible for compatibility problems resulting from incomplete, inaccurate, or changed customer information.

18. Installation and Product Use

Unless expressly included in writing, products are sold without installation, assembly, on-site service, training, electrical work, structural modification, or removal of existing equipment.

Customers are responsible for:

  • Proper installation and assembly

  • Following product instructions and warnings

  • Confirming structural and electrical suitability

  • Using qualified personnel when appropriate

  • Complying with applicable building, electrical, fire, safety, accessibility, and workplace requirements

  • Supervising product use

  • Using products only for their intended purposes

Three Sixteen Technologies is not responsible for damage or injury caused by improper installation, misuse, overloading, unauthorized modification, unsuitable mounting surfaces, improper electrical connections, or failure to follow instructions.

19. Intellectual Property

The website and its contents—including text, product descriptions, photographs, graphics, logos, layouts, videos, downloads, and other materials—are owned by or licensed to Three Sixteen Technologies and are protected by applicable intellectual-property laws.

You may view and use the website for lawful personal, organizational, or purchasing purposes.

Without prior written permission, you may not:

  • Copy or republish substantial website content

  • Use our trademarks, logos, or branding

  • Modify or create derivative works from website materials

  • Sell, sublicense, or commercially exploit website content

We make reasonable efforts to maintain an accurate, secure, and available website. However, the website may occasionally contain errors or experience interruptions, maintenance, delays, or technical problems.

To the maximum extent permitted by law, the website and its general informational content are provided on an “as available” basis without guarantees regarding uninterrupted access, error-free operation, or suitability for a particular purpose.

Product warranty rights are governed separately by the applicable written Limited Warranty and applicable law.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Three Sixteen Technologies will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business opportunities, data, productivity, or use, arising from or related to:

  • Website use

  • Product purchase or use

  • Shipping or delivery delays

  • Installation or configuration

  • Product unavailability

  • Third-party services

  • These Terms and Conditions

To the maximum extent permitted by law, our total liability arising from or related to a particular product or order will not exceed the amount actually paid to Three Sixteen Technologies for the product or order giving rise to the claim.

Nothing in these Terms and Conditions excludes or limits liability that cannot legally be excluded or limited.

24. Events Beyond Our Reasonable Control

Three Sixteen Technologies will not be responsible for delay or failure caused by events beyond our reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire or flooding

  • Epidemics or public-health emergencies

  • War, terrorism, or civil unrest

  • Government actions or restrictions

  • Customs or import delays

  • Supplier or manufacturing disruptions

  • Product or component shortages

  • Labor disputes

  • Utility or communications failures

  • Cybersecurity incidents

  • Transportation or carrier disruptions

  • Port congestion

  • Changes in tariffs, duties, or trade restrictions

  • Other events that could not reasonably be prevented

We will make commercially reasonable efforts to communicate material delays and resume performance when reasonably possible.

25. Privacy

Information collected through the website is handled according to our Privacy Policy, which is incorporated into these Terms and Conditions.

Do not submit confidential or highly sensitive information through our general contact form or ordinary email.

26. Electronic Communications

You agree that quotations, order confirmations, invoices, notices, disclosures, approvals, and other communications may be delivered electronically.

Electronic acceptance, email approval, electronic signatures, and electronically submitted purchase orders may be treated as written communications to the extent permitted by applicable law.

You are responsible for providing and maintaining accurate contact information.

27. Governing Law

These Terms and Conditions and transactions with Three Sixteen Technologies are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute will be subject to the jurisdiction of a court of competent jurisdiction in California, except where applicable law requires otherwise.

28. Order of Precedence

If documents relating to an order conflict, the more specific written document will control over the more general document.

Unless otherwise agreed in a signed writing, the order of precedence is:

  1. A signed agreement between the customer and Three Sixteen Technologies

  2. The accepted quotation or order confirmation

  3. A product-specific written warranty for warranty-related matters

  4. The Shipping & Freight Policy for shipping-related matters

  5. These Terms and Conditions

Terms appearing only in a customer purchase order or other customer document do not modify these Terms and Conditions unless expressly accepted by Three Sixteen Technologies in writing.

29. Severability

If any provision of these Terms and Conditions is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

30. No Waiver

Failure by Three Sixteen Technologies to enforce a provision of these Terms and Conditions does not waive our right to enforce that provision or another provision later.

A waiver is effective only when expressly provided in writing by an authorized representative of Three Sixteen Technologies.

31. Assignment

You may not assign or transfer your rights or obligations relating to an order without our prior written approval.

Three Sixteen Technologies may assign its rights or obligations in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of business operations, subject to applicable law.

32. Entire Agreement

These Terms and Conditions, together with the accepted quotation, order confirmation, applicable written warranty, Shipping & Freight Policy, Privacy Policy, and any signed agreement, constitute the complete agreement relating to the applicable website use or transaction.

They replace prior discussions, communications, or representations relating to the same subject matter, except for terms expressly preserved in a signed writing.

33. Changes to These Terms and Conditions

We may update these Terms and Conditions periodically.

Revised Terms and Conditions become effective when posted with a new effective date and apply to website use occurring after that date.

Orders accepted before an update will generally remain governed by the terms in effect when the order was accepted unless the parties agree otherwise in writing or applicable law requires a different result.
